Confirmation statement filing
CS01 returns filed directly with Companies House — auto-populated, reviewed in minutes, accepted in real time.
Every private limited company registered at Companies House must file a confirmation statement (formerly the annual return) at least once every 12 months. A late or missing CS01 is one of the most common reasons for company strike-off action.
What a confirmation statement covers
The CS01 confirms or updates the company's publicly registered information at a specific review date. This includes: the registered office address, the principal business activity (SIC codes), the statement of capital and shareholder details, information about people with significant control (PSCs), and the type of register the company maintains.
If nothing has changed, you simply confirm the existing information. If there have been changes — a new shareholder, a SIC code update, a PSC change — those updates are included in the filing.
How WebFiling handles the CS01
WebFiling retrieves the current public register information for the company, pre-populates the filing, and presents it for review. You confirm accuracy, make any updates required, and submit. The filing goes directly to the Companies House XML gateway and a transaction reference is returned immediately.
Because your director and shareholder records are stored in the WebFiling address book, the data needed for the CS01 is already in the system — no repeated data entry across multiple client companies.
Deadlines and penalties
The CS01 must be filed within 14 days of the confirmation date (the 12-month anniversary of the last confirmation statement or incorporation). Late filing does not incur an automatic financial penalty, but persistent failure to file leads to Companies House issuing a strike-off notice, and ultimately the company being dissolved and removed from the register.
WebFiling calculates the CS01 due date for every company in your portfolio and displays it on the deadline dashboard. Email reminders are sent automatically in advance.
